EXIM Clinic will alert you that changes or revisions have been made by indicating on the top of this Agreement the date it was last revised. The changed or revised Agreement will be effective immediately after it is posted on this Website. Your use of the Website following the posting of any such changes or of a revised Agreement will constitute your acceptance of any such changes or revisions. EXIM Clinic encourages you to review this Agreement whenever you visit the Website to make sure that you understand the terms and conditions governing the use of the Website. This Agreement does not alter in any way the terms or conditions of any other written agreement you may have with EXIM Clinic for other products or services. If you do not agree to this Agreement (including any referenced policies or guidelines), please immediately terminate your use of the Website. 1) Consulting services can be booked online through ‘Website’ or offline by telephone or e-mail services. A booked service means if it is paid before starting the consultation. The delivery of consultation services will be through online (virtual mode through Zoom, Google Meet, Microsoft Team, etc) or offline (in person meeting at agreed place) mode.

2) Training/Coaching will be delivered through online (webinar) or offline (seminar) mode. Corporates may invite us for in-house training/coaching.

3) Export/Import Recorded Video Courses will be accessed and used through webpage or mobile application.

4) Export/Import Courses for Corporates will be delivered to Corporate HR - Books & Workbooks will be delivered in physical forms and Recorded Videos Courses will be configured to given email ID and the same will be communicated to respective e-mail ID.

5) Consultation for issuance of various Authorisations/Scrips/Certifications including various Registration for export/import will be online/offline mode.

6) Books can be purchased either ‘Website’ or e-commerce platforms where these are listed for selling.

7) Ready to use digital templates will be downloaded from ‘Website’ after paying the price.

8) On demand services can be booked online/offline. The delivery of these services will always be through e-mail or through dedicated webpage. Dedicated webpage will be allotted to premium customers who must retain us more than 1 year by paying monthly subscription fee Rs. 30,000/- or the individuals who joined our Mentorship Program for Export/Import Business. Dedicated webpage can be suspended/restricted to use if retainership agreement is expired and not renewed within 30 days from the expiry date. For individual dedicated webpage will be deleted/suspended/restricted to use after 365 days from the date of start of Mentorship Program for Export/Import Business - Uses may be extended if mentorship program is further renewed.

Prices & Payment Methods

You can purchase products or services listed on our ‘Website’ by making an online payment through third party's payment gateway like CC Avenue, Razorpay, Instamojo, Cosmofeed, www.eximclinic.graphy.com, etc. For products or services not listed on our ‘Website’, you can purchase them at a price agreed upon between EXIM Clinic and the purchaser. We recommend obtaining a Proforma Invoice (PI) from EXIM Clinic and issuing us a Purchase Order. Payment can be made directly to the EXIM Clinic bank account as mentioned in the PI or email quotation, or by using a third party's payment link provided by EXIM Clinic from its domain email ID.

Note:

(i) You are responsible for ensuring that you have the necessary equipment, software, and internet connection to access and use our products or services.

(ii) We do not guarantee that our products or services will meet your expectations, requirements, or needs, or that they will be error-free, secure, reliable, or available at all times. We disclaim all warranties, express or implied, regarding our products or services, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

(iii) If you are not satisfied with our products or services, your sole remedy is to stop using them and request a refund of your purchase. We will process your refund request according to our return & refund policy [https://www.eximclinic.com/return-and-refund], which is incorporated by reference into these terms and conditions. We do not offer refunds for any products or services that are provided for free.

iv) For online products/services where buying information/confirmation will be delivered to provided e-mail, we highly recommend to check Junk/Spam folder. EXIM Clinic will not be responsible for late access of such products/services due to e-mail is landed in Junk/Spam folder.

v) If a product/service is booked by making partial payment, the remaining price must be paid within 5 days or before the commencement of delivery of such product/service, whichever is earlier. In case where the price is revised before the commencement of such programme, the difference amount will be paid by the Customer/Client. This rule will not be applicable if the price is revised within 5 days of making partial payment.

b) Customer Solicitation: Unless you notify our third-party call centre representatives (if any) or direct EXIM Clinic sales representatives, while they are calling you, of your desire to opt-out from further direct company communications and solicitations, you are agreeing to continue to receive further emails and call solicitations EXIM Clinic and its designated in-house or third-party call team(s).

c) Opt-Out Procedure: We provide an easy way to opt-out of future solicitations which will be applicable for subscriptions services only.

d) Proprietary Rights: EXIM Clinic has proprietary rights and trade secrets in the Products. You may not copy, reproduce, resell or redistribute any Product/ services manufactured and/or distributed by EXIM Clinic. EXIM Clinic also has rights to all trademarks and trade dress and specific layouts of this webpage, including calls to action, text placement, images, and other information.

e) Change in Products/Services: EXIM Clinic reserves the right to add, modify, suspend, remove, discontinue our products or services, and subscriptions along with their price and benefits at any time, without notice or liability to you. However, it will not be implemented retrospectively.

f) GST: If you purchase any Products/ Services, you will be responsible for paying any applicable GST. For most of products/services GST is already included in the price of products/services available for purchase on this website. Whereas for some products/services you need to pay GST separately. If you need a GST Invoice, please share the following information to eximfriend@eximclinic.com.

REFUND, PARTIAL/ FULL, OF PAID AMOUNT FOR THE PRODUCTS/ SERVICES, PURCHASED VIA THIS WEBSITE CAN NOT BE CLAIMED. IN LIEU OF REFUND OF PAID AMOUNT, THE PURCHASED PRODUCTS/ SERVICES CAN BE TRANSFERRED TO ANY THIRD PARTY WITH PRIOR INTIMATION, BY EMAIL SERVICE, TO EXIM CLINIC WHICH WILL BE FURTHER SUBJECT TO THE ACCEPTANCE OF EXIM CLINIC.

EXIM CLINIC WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THIS AGREEMENT OR THE PRODUCTS/ SERVICES IN ANY MANNER, INCLUDING LIABILITIES RESULTING FROM (1) THE USE OR THE INABILITY TO USE THE WEBSITE CONTENT OR PRODUCTS/ SERVICES; (2) THE COST OF PROCURING SUBSTITUTE PRODUCTS/ SERVICES OR CONTENT; (3) ANY PRODUCT/ SERVICE PURCHASED OR OBTAINED OR TRANSACTIONS ENTERED INTO THROUGH THE WEBSITE; OR (4) ANY LOST PROFITS YOU ALLEGE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

V. EXCEPTION TO CLAUSE IV FOR REFUND OF PAID AMOUNT

A refund of the amount paid, for partial/full amount, can be requested which will be valid only for online webinars or online live training/coaching sessions and can be availed only for such programs for which " Website" offering a 100% money back guarantee. Please note that the refund request for partial/full amount of the amount paid can be made up to one day prior to the commencement of the 'Online Session' or within 1 hour from the start of the online session. Request which will be received after 1 hour from the start of the live session will not be entertained for refund of paid amount for partial/full amount.

In such a case, the person making the request for refund of the amount paid shall make the following efforts:

1) Send an email to eximfriend@eximclinic.com or exportimport.clinic@gmail.com requesting refund of the amount paid (Partial/full).

2) The e-mail subject line should start with "Refund of Rs ___ (Amount in Indian Rupees), Payment Reference No________ Date_______ dated ___________

3) If payment is made through Cosmofeed, CCAvenue, Instamojo, Razorpay Payment Gateway or any other payment gateway, the e-mail should be sent from the same e-mail ID used for making the payment. If payment is made from bank transfer, the payment reference number should be mentioned in the email. If payment is made through Cheque/DD, the number, date and realisation of Cheque/DD must be mentioned in the email.

If the tax return has been filed, the tax will not be refunded or will be processed as per the tax law in force at that time.

The benefit offered, if any, to the person requesting for refund of the amount paid, in part/full, will not be distributed to him/her.

If benefits in digital nature which can be saved in computer/mobile/tablet/desktop/laptop or any other storage devices and if the same have been distributed then refund will not be entertained in any case.

VI. INDEMNIFICATION

You will release, indemnify, defend and hold harmless EXIM Clinic, and any of its contractors, agents, employees, officers, directors, shareholders, affiliates and assigns from all liabilities, claims, damages, costs and expenses, including reasonable attorneys' fees and expenses, of third parties relating to or arising out of (1) this Agreement or the breach of your warranties, representations and obligations under this Agreement; (2) the Website content or your use of the Website content; (3) the Products/ Services or your use of the Products/ Services (including Trial Products/ Services); (4) any intellectual property or other proprietary right of any person or entity; (5) your violation of any provision of this Agreement; or (6) any information or data you supplied to EXIM Clinic. When EXIM Clinic is threatened with suit or sued by a third party, EXIM Clinic may seek written assurances from you concerning your promise to indemnify EXIM Clinic; your failure to provide such assurances may be considered by EXIM Clinic to be a material breach of this Agreement. EXIM Clinic will have the right to participate in any defence by you of a third-party claim related to your use of any of the Website content or Products, with counsel of EXIM Clinic choice at its expense. EXIM Clinic will reasonably cooperate in any defence by you of a third-party claim at your request and expense. You will have sole responsibility to defend EXIM Clinic against any claim, but you must receive EXIM Clinic prior written consent regarding any related settlement. The terms of this provision will survive any termination or cancellation of this Agreement or your use of the Website or Products/ Services.

VII. PRIVACY

EXIM Clinic believes strongly in protecting user privacy and providing you with notice of EXIM Clinic's use of data. Please refer to EXIM Clinic 'Privacy Policy', incorporated by reference herein that is posted on the Website.

VIII. AGREEMENT TO BE BOUND

By using this Website or ordering Products/ Services, you acknowledge that you have read and agree to be bound by this Agreement and all terms and conditions on this Website.

IX. GENERAL

1) Force Majeure: EXIM Clinic or EXIM Clinic's subsidiaries or other business verticals will not be deemed in default hereunder or held responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott.

2) Factors Outside our Control: We cannot guarantee the results or outcome of your particular procedure. For instance, the government may reject an authorization application for legal reasons beyond the scope of EXIM Clinic service. In some cases, a government backlog or problems with the government platforms (e.g. DGFT website, Customs Website, etc) can lead to long delays before your process is complete. Similarly, EXIM Clinic does not guarantee the results or outcomes of the services rendered by our Associates, who are not employed by EXIM Clinic. Problems like these are beyond our control and are not covered by this guarantee and/or not eligible for a refund. Hence, a delay in the processing of your file by the Government cannot be a reason for a refund.

3) Cessation of Operation: EXIM Clinic may at any time, in its sole discretion and without advance notice to you, cease operation of the Website and distribution of the Products/ Services.

4) Entire Agreement: This Agreement comprises the entire agreement between you and EXIM Clinic and supersedes any prior agreements pertaining to the subject matter contained herein.

5) Session Schedule Changes for Training Participants of More than 1000: If the number of participants in a training event (Online or Offline) exceeds 1000, the session schedule may be changed. This is because large training events require more time and resources to plan and execute, and it may not be possible to accommodate all participants in the originally scheduled time slots.
We understand that you may be disappointed if the session schedule for your training changes. However, we reserve the right to make changes to the schedule if the number of participants exceeds 1000.
In the event of a schedule change, participants will be notified as soon as possible. The new schedule will be posted on the event website. The new schedule will be sent to participants via email or message will be dropped on relevant training WhatsApp or Telegram Group. We recommend participants to please don’t forget to join the WhatsApp or Telegram Group via link published on website (It will be visible only after making the training fee).
There are a few reasons why we may need to make changes to the schedule. First, we may need to split the training into multiple sessions in order to accommodate everyone. Second, we may need to change the start and end times of the sessions in order to ensure that all participants have a chance to attend.
We apologize for any inconvenience this may cause. We understand that schedule changes can be disruptive, but we believe that this is necessary to ensure that all participants have a positive and productive learning experience.
We will do our best to minimize any disruption to the training schedule. However, we appreciate your understanding if there are any changes that need to be made.

6) Return & Refund Policy: When the user/client/customer chooses any product/service of EXIM Clinic and accepts the terms and conditions then he/she will be automatically bound with the EXIM Clinic return & refund policy. We encourage users/clients/customers to read the return & refund policy before purchasing any product/service from EXIM Clinic. To read the return & refund policy please log on to https://www.eximclinic.com/return-and-refund. This return & refund policy supersedes any other return & refund policy if mentioned anywhere else.

7) Effect of Waiver: The failure of EXIM Clinic to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

8) Minimum Age: You must be 18 years of age or older to agree to this Agreement and use the Services. If a parent or guardian wishes to permit a person under 18 years old, and under his or her supervision, to use the Services, he or she should contact EXIM Clinic with his or her explicit permission and acceptance of full legal responsibility for the minor to do so. If you are not yet 18 years old, if you are easily offended, or are accessing the Services from sanctioned countries outside of India, please stop using the Services immediately as you do not have permission to access the Services.

9) Governing Law: Gurugram, Haryana, India. This Website originates from Gurugram, Haryana, India. This Agreement will be governed by the laws of the State of Haryana, India without regard to its conflict of law principles to the contrary. Neither you nor EXIM Clinic will commence or prosecute any suit, proceeding or claim to enforce the provisions of this Agreement, to recover damages for breach of or default of this Agreement, or otherwise arising under or by reason of this Agreement, other than in courts located in the State of Haryana. By using this "Website" or ordering Products/ Services, you consent to the jurisdiction and venue of such courts in connection with any action, suit, proceeding or claim to arise under or by reason of this Agreement. You hereby waive any right to trial by court/jury arising out of this Agreement and any related documents.

10) The statute of Limitation: You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Website or Products or this Agreement must be filed within permitted period as prescribed in related Law or be forever barred.

11) Waiver of Class Action Rights: BY ENTERING INTO THIS AGREEMENT, YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT YOU MAY HAVE TO JOIN CLAIMS WITH THOSE OF OTHER IN THE FORM OF A CLASS ACTION OR SIMILAR PROCEDURAL DEVICE. ANY CLAIMS ARISING OUT OF, RELATING TO, OR CONNECTION WITH THIS AGREEMENT MUST BE ASSERTED INDIVIDUALLY.

12) Termination: EXIM Clinic reserves the right to terminate your access to the Website if it reasonably believes, in its sole discretion, that you have breached any of the terms and conditions of this Agreement. Following termination, you will not be permitted to use the Website and EXIM Clinic may, in its sole discretion and without advance notice to you, cancel any outstanding orders for Products/ Services. If your access to the Website is terminated, EXIM Clinic reserves the right to exercise whatever means it deems necessary to prevent unauthorized access to the Website. This Agreement will survive indefinitely unless and until EXIM Clinic chooses, in its sole discretion and without advance to you, to terminate it.

13) Domestic Use: EXIM Clinic makes no representation that the Website, Products, or Services are appropriate or available for use in locations outside India. Users who access the Website from outside India do so at their own risk and initiative and must bear all responsibility for compliance with any applicable local laws.

14) Assignment: You may not assign your rights and obligations under this Agreement to anyone. EXIM Clinic may assign its rights and obligations under this Agreement in its sole discretion and without advance notice to you.
